Overview

This is the Investments and Securities Act, 2025 of the Federal Republic of Nigeria, published as a supplement to the Official Gazette No. 19, Vol. 112, dated 2nd May 2025. The Act establishes and governs the Securities and Exchange Commission (SEC) and regulates securities exchanges, financial market infrastructures, and other self-regulatory organizations. It is structured into parts covering the establishment, objectives, functions, and powers of the SEC (Part I); the governing board (Part II); staff (Part III); financial provisions (Part IV); and registration and regulation of securities exchanges and financial market infrastructures (Part V). Key topics include the composition of the board, appointment of the Director-General, fund management, penalties, listing rules, and insolvency proceedings for financial market infrastructures.
